Terms of Service

Effective date: October 21, 2026

Last updated: October 21, 2026

OVERVIEW

Axis ISO ("Axis ISO," "we," "us," or "our") offers Axis, a desktop application that runs AI coding and chat agents through your own AI provider accounts and provides shared memory across agents and built-in apps, together with the website at axisiso.com, Axis accounts and subscriptions, and related services (collectively, the "Service"). We offer the Service to you conditioned on your acceptance of all the terms, conditions, and policies stated here.

By downloading, installing, accessing, or using any part of the Service, or by purchasing a subscription, you agree to be bound by these Terms of Service (the "Terms"), including the additional terms and policies referenced here and available by hyperlink, such as our Privacy Policy. Please read these Terms carefully. If you do not agree to all of them, you may not access or use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Any new features or tools added to the Service are also subject to these Terms.

SECTION 1 - ELIGIBILITY AND ACCOUNTS

You must be at least 18 years of age to use the Service. The Service is offered only to individuals located in the United States. By using the Service, you represent that you meet these requirements.

You may create an account by signing in with Google or Microsoft. You agree to provide accurate and complete information, to keep it current, and to maintain the security of your account and your device. You are responsible for all activity that occurs under your account. Please notify us immediately at support@axisiso.com if you become aware of any unauthorized use of your account.

SECTION 2 - THE SERVICE

Axis is a desktop harness and hub that runs AI coding and chat agents from third-party AI services that you choose to connect, such as Claude Code, Codex, ChatGPT, Google Antigravity CLI, and Cursor, using your own provider accounts and subscriptions. This list is not exhaustive. Axis may support other AI providers now or in the future, and these Terms apply in the same way to any AI provider you connect. The Service also provides shared memory across agents and built-in apps, including Hermes (a web browser), a calendar, and Kairos (a job-application dashboard). We may also offer hosted virtual computers, which, if offered, are subject to these Terms and any additional usage limits described in the application.

We do not provide the underlying AI models. AI requests are made through your own accounts with the providers you select.

SECTION 3 - LICENSE AND RESTRICTIONS

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Axis on devices that you own or control.

You may not, and may not permit anyone else to: (a) copy, modify, distribute, sell, rent, lease, or sublicense any part of the Service; (b) reverse engineer, decompile, or disassemble the Service, except to the extent applicable law expressly permits; (c) circumvent or interfere with license checks, subscription limits, or security features; (d) use the Service to build a competing product or service; or (e) remove or alter any proprietary notices.

SECTION 4 - YOUR AI PROVIDER ACCOUNTS

The Service connects to third-party AI providers and other services using your own accounts, subscriptions, and credentials. Axis ISO is not affiliated with, endorsed by, or sponsored by those providers. You are solely responsible for:

  • Complying with each provider's terms of service and usage policies, including any restrictions on using your subscription through third-party applications.
  • All fees, usage charges, and rate limits associated with your provider accounts, which are billed separately by those providers.
  • Maintaining the security of your provider credentials.
  • The instructions you give to agents and the activity they perform through your provider accounts.

You may not share, resell, or pool provider subscriptions with others through the Service. If a provider changes, limits, suspends, or discontinues its service, some features of the Service may stop working. We are not liable for any such change or for any action a provider takes regarding your account.

SECTION 5 - CONNECTED ACCOUNTS AND AGENT ACTIONS

When you connect a Google or Microsoft account or other service, you authorize Axis to access that account within the permissions you approve. Agents running in Axis can take actions on your computer and in your connected accounts, such as editing files, running commands, sending email, and managing calendar events. You are responsible for the actions you instruct, approve, or permit through your settings. You should review actions before approving them and maintain backups of important data.

SECTION 6 - SUBSCRIPTIONS, PAYMENTS, AND REFUNDS

Paid plans are sold through Paddle, which acts as our reseller and merchant of record. Paddle processes your payment and is responsible for related taxes, invoices, and refunds. Your purchase is also subject to Paddle's buyer terms.

  • Subscriptions. Paid plans are billed monthly in advance and renew automatically at the then-current price until you cancel.
  • Cancellation. You may cancel at any time. Cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then.
  • Refunds. If you are not satisfied, you may request a full refund within 14 days of your first payment by contacting support@axisiso.com. Refunds are issued through Paddle. Renewal payments are non-refundable, except where required by law.
  • Price changes. We may change subscription prices. We will notify you in advance, and any change will apply beginning with your next billing period after the notice. You may cancel before the new price takes effect.
  • Billing information. You agree to provide current, complete, and accurate payment information and to update it promptly as needed.

Fees charged by your AI providers are separate from your Axis subscription and are not covered by our refund policy.

SECTION 7 - PROHIBITED USES

In addition to the other restrictions in these Terms, you may not use the Service: (a) for any unlawful purpose or to solicit others to perform unlawful acts; (b) to violate any federal, state, or local law or regulation; (c) to infringe or violate our intellectual property rights or those of others; (d) to harass, abuse, defame, intimidate, or discriminate against any person; (e) to submit false or misleading information or to impersonate any person; (f) to create, upload, or transmit viruses, malware, or other malicious code; (g) to access accounts, systems, or data without authorization, or to probe, attack, or overload any system; (h) to collect or track the personal information of others without their consent; (i) to send spam, to phish, or to scrape or crawl websites in violation of their terms; (j) to create content that exploits or harms minors; (k) to violate the usage policies of any AI provider you connect; or (l) to interfere with or circumvent the security features of the Service. We may suspend or terminate your use of the Service for violating any of these prohibitions.

SECTION 8 - AI-GENERATED OUTPUT

The Service displays output generated by third-party AI models. AI output may be inaccurate, incomplete, outdated, insecure, or similar to content generated for others. You are responsible for reviewing and verifying all output, including code, before using or relying on it. AI output is not professional advice, including legal, medical, financial, or employment advice. We do not warrant the accuracy, reliability, or suitability of any AI output, and you use it at your own risk.

SECTION 9 - YOUR CONTENT AND FEEDBACK

As between you and us, you retain all rights to your prompts, files, and output ("Your Content"). Because Your Content is stored on your device, we do not access it except as described in our Privacy Policy. You are solely responsible for Your Content and represent that you have all rights necessary to use it with the Service.

If you send us suggestions, ideas, or other feedback, you agree that we may use it without restriction or obligation to you.

SECTION 10 - INTELLECTUAL PROPERTY

The Service, including its software, design, text, graphics, and the Axis and Axis ISO names and logos, is owned by Axis ISO and its licensors and is protected by intellectual property laws. Except for the limited license granted in Section 3, these Terms do not grant you any rights in the Service. Open-source components included in the Service are governed by their respective licenses.

The Service works with and may link to third-party services, including AI providers, Google, Microsoft, Paddle, and websites you visit in Hermes. We do not control and are not responsible for third-party services, their content, or their practices, and we provide access to them "as is" without endorsement. Your use of third-party services is at your own risk and is governed by their terms and policies. Complaints, claims, or questions about third-party services should be directed to the third party.

SECTION 12 - PRIVACY

Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, and protect your information.

SECTION 13 - MODIFICATIONS TO THE SERVICE

We may modify, suspend, or discontinue the Service, or any feature of it, at any time. If we discontinue the Service entirely, we will provide reasonable advance notice and a prorated refund of any prepaid fees for the unused portion of your billing period. Otherwise, we are not liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

SECTION 14 - DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICE WILL BE COMPATIBLE WITH ANY THIRD-PARTY PROVIDER, OR THAT ANY RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

SECTION 15 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AXIS ISO OR ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, ANY AI OUTPUT, ANY ACTION TAKEN BY AN AGENT, OR ANY THIRD-PARTY SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Because some states do not allow the exclusion or limitation of certain damages, some of the above limitations may not apply to you. In those states, our liability is limited to the maximum extent permitted by law.

SECTION 16 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Axis ISO and its owners, officers, employees, agents, contractors, service providers, and licensors from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of or related to your breach of these Terms, your misuse of the Service, your use of your provider or connected accounts, Your Content, or your violation of any law or the rights of a third party.

SECTION 17 - TERMINATION

These Terms remain in effect until terminated by you or by us. You may terminate them at any time by canceling your subscription, deleting your account, and ceasing to use the Service.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or to protect the Service or others. Upon termination, your license to use the Service ends, and you remain liable for all amounts due through the date of termination. Sections that by their nature should survive termination, including Sections 8 through 11 and 14 through 21, will survive.

SECTION 18 - GOVERNING LAW, DISPUTE RESOLUTION, AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND AXIS ISO LLC TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Tennessee and, with respect to this Section, the Federal Arbitration Act, without regard to conflict-of-law principles.

Informal dispute resolution. Before starting arbitration or any other proceeding, you and Axis ISO LLC agree to first try to resolve any dispute informally. The party raising the dispute must send the other a written notice describing the dispute and the relief requested. Notices to us must be sent to support@axisiso.com; notices to you will be sent to the email address associated with your account. If the dispute is not resolved within thirty (30) days after the notice is received, either party may begin arbitration.

Binding individual arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitrator, and not any court, will decide all questions of arbitrability, except as provided under "Class action and jury waiver" below. Unless you and we agree otherwise, the arbitration will be conducted by video or telephone, or in Maury County, Tennessee, or the county where you reside. Payment of filing, administration, and arbitrator fees will be governed by the AAA Consumer Arbitration Rules. The arbitrator may award any individual relief that a court could award, and judgment on the award may be entered in any court of competent jurisdiction.

Small-claims exception. Either party may instead bring an individual claim in small claims court in Maury County, Tennessee, or the county where you reside, as long as the claim qualifies and remains in that court on an individual basis. Either party may also seek injunctive relief in court to stop the infringement or misuse of intellectual property rights.

Class action and jury waiver. YOU AND AXIS ISO LLC AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. YOU AND AXIS ISO LLC EACH WAIVE THE RIGHT TO A TRIAL BY JURY. If this class action waiver is found unenforceable as to any claim, that claim must be severed and decided by a court as described under "Severability and court venue" below, and not in arbitration.

30-day opt-out. You may opt out of this agreement to arbitrate by sending an email to support@axisiso.com from the email address associated with your account within thirty (30) days after you first accept these Terms. Your email must include your name and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

Severability and court venue. If any part of this arbitration agreement is found unenforceable, the remainder will remain in effect, except that if the arbitration agreement as a whole is found unenforceable, or if you opt out, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in or serving Maury County, Tennessee, and you consent to the personal jurisdiction of those courts, subject to the jury waiver above to the extent permitted by law.

SECTION 19 - SEVERABILITY AND WAIVER

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

SECTION 20 - ENTIRE AGREEMENT AND CHANGES TO THESE TERMS

These Terms, together with our Privacy Policy and any policies posted by us in the Service, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. The section headings are for convenience only.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If we make material changes, we will notify you through the application or by email before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
